OutcomeOS website and service terms.
These terms describe the website and recovery service. Any agreed merchant or pilot terms also apply to service use.
Service description
OutcomeOS provides software that helps authorised merchants identify recoverable failed Paystack payments, execute approved recovery workflows, verify resulting payments and calculate success fees only from verified attributable recovery.
Service availability
Assessment enquiries are open. Live payment services are pending Paystack business activation and require completed merchant onboarding. Submitting a website enquiry does not activate recovery or incur a recovery fee.
Eligibility
The service is intended for businesses that can lawfully authorise access to their payment and transaction systems and that operate with supported payment infrastructure. OutcomeOS may decline or pause service where eligibility, risk or authorisation is unclear.
Merchant authorisation
Merchants remain responsible for granting and maintaining the permissions needed for OutcomeOS to operate. Ordinary recovery actions run only inside the authorised merchant policy. Actions outside that policy may require explicit approval.
Payment provider access
OutcomeOS operates through authorised payment integrations. OutcomeOS is not a payment processor, does not hold merchant customer funds and does not replace the merchant's relationship with Paystack or another payment provider.
Success fee
The initial recovery offer is a 10% success fee on verified recovered revenue. Estimated revenue, attempted recovery, failed recovery, test transactions, unmatched payments and unrecovered payments are not billable recovered revenue.
Verified and attributed recovery
A recovery becomes billable only when provider evidence supports payment success and attribution evidence connects that payment to the OutcomeOS recovery case under the agreed policy. OutcomeOS should prefer under-attribution over false attribution.
Prohibited use
Merchants may not use OutcomeOS for unlawful recovery activity, harassment, unauthorised access, misrepresentation, evasion of payment-provider rules or processing data they are not entitled to process.
Customer responsibilities
Merchants are responsible for accurate information, lawful authorisation, customer notices where required, payment-provider compliance and reviewing activity that falls outside standing policy.
Third-party providers
Paystack and other providers are independent third parties. Their availability, policies, settlement, refunds and disputes remain governed by the provider's own terms.
Confidentiality and data
OutcomeOS handles merchant information for the purpose of providing and improving the service. Confidential commercial information should be protected according to the governing commercial agreement and applicable law.
Suspension and termination
OutcomeOS may suspend or terminate access where credentials are invalid, authorisation is withdrawn, provider access fails, security risk is detected, legal obligations require it or the merchant materially breaches applicable terms.
Limitation of liability
To the extent permitted by applicable law, OutcomeOS is not liable for indirect, incidental, special or consequential losses, and the service is provided subject to the limits in the applicable commercial agreement.
Governing law
Where no separate agreement states otherwise, these public terms are intended to be governed by the laws of South Africa.
